Commercial License Terms

1. Scope of Commercial License

These Commercial License Terms supplement the general Terms of Service and apply specifically to ThinkableSpace Commercial (Business) Licenses. In the event of a conflict, these Commercial Terms take precedence for commercial use.

A Commercial License permits use of ThinkableSpace within a single legal entity (company, partnership, or other organization) for business, commercial, or professional purposes.

2. Authorized Use

The Commercial License grants your organization the right to install and use ThinkableSpace on devices owned or controlled by your organization, subject to the seat limit specified in your license.

• Each seat permits activation on one device at a time
• Seats may be reassigned between devices by deactivating one device before activating another
• All users must be employees, contractors, or agents of the licensed organization
• The license may not be shared between separate legal entities, subsidiaries, or affiliates unless each holds its own license

3. Seat Management

Included Seats: Each Commercial License includes a minimum number of seats as specified at the time of purchase (currently 5 seats).

Additional Seats: You may purchase additional seats at any time from your license management dashboard. Additional seats are pro-rated based on the remaining months of your current license period.

Seat Expiry: All seats, including additional seats purchased mid-term, expire at the same time as the base license.

Renewal: When renewing a Commercial License, the seat count must be equal to or greater than the current seat count. You may add seats during renewal but may not reduce them.

4. Pricing and Payment

License Fee: The Commercial License fee consists of a base price plus a per-seat price for any seats beyond the included minimum.

Pro-Rated Seats: Additional seats purchased during an active license period are charged on a monthly pro-rata basis. Partial months are rounded up to the nearest full month.

Regional Pricing: Prices vary by region. United Kingdom customers are charged in GBP via Stripe. All other regions are charged in USD via our merchant of record.

Discounts: Promotional and volume discounts may be offered from time to time. Discounts are applied at checkout and are subject to their individual terms and conditions.

5. Perpetual Access

Upon expiry of your Commercial License, your organization retains perpetual access to the last version of ThinkableSpace released before the expiry date.

Perpetual access does not include new features, updates, or support. To receive continued updates, you must renew your license.

6. Restrictions

In addition to the restrictions in the general Terms of Service, Commercial License holders may not:

• Use the software in a managed service, SaaS, or hosting offering for third parties
• Sublicense, rent, lease, or lend the software to third parties
• Exceed the number of authorized seats without purchasing additional capacity
• Transfer the license to another organization without prior written consent from Amicosoft Ltd
• Use separate Individual licenses in place of a Commercial License for business purposes

7. Compliance and Audit

You agree to maintain accurate records of your use of ThinkableSpace, including the number of devices on which it is installed.

Amicosoft Ltd reserves the right to verify compliance with these terms. We may request reasonable documentation to confirm the number of active installations does not exceed your licensed seat count.

8. Termination

Amicosoft Ltd may terminate or suspend your Commercial License if your organization breaches these terms, including exceeding the licensed seat count or using the software in a manner not authorized by these terms.

Upon termination for breach, all rights granted under the Commercial License cease immediately, including perpetual access rights.

9. Limitation of Liability

The limitations of liability set out in the general Terms of Service apply to Commercial Licenses. In no event shall Amicosoft Ltd's total liability exceed the total fees paid by your organization in the twelve (12) months preceding the claim.

10. Governing Law

These Commercial License Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
